PTPRates Terms of Use

Welcome to PTPRates, a service provided by Core State Holdings, Corp. (“PTPRates”, “we”, “us”, or “our”). This Terms of Use agreement (“Terms”) outlines the rules and guidelines governing your access to and use of the PTPRates platform, including any content, functionality, products, and services offered on or through the platform. By accessing or using PTPRates, you agree to comply with and be bound by these Terms. Please read these Terms carefully before you start using the platform, as they affect your legal rights and obligations. If you do not agree to these Terms, you must not access or use PTPRates. Additional related policies, including our Privacy Policy, are incorporated by reference and form part of these Terms. This document is a legally binding agreement between you and PTPRates, so we encourage you to consult with a legal professional if you have any questions or concerns.

1. Introduction

1. These Terms of Use (“Terms”) guide your access to and use of PTPRates.com, including the website, mobile applications, and related content, features, software, and applications (together referred to as the “Platform”), as well as the market data services provided through the Platform (collectively called the “Services”). The Privacy Policy, found at https://ptprates.com/privacy-policy/, is an integral part of these Terms.
2. PTPRates.com is administered and maintained by Core State Holdings, Corp., a legal entity registered at 24025 RPO Bayshore Barrie ON L4N 1W3 Canada, as per applicable law (“PTPRates”). Throughout these Terms, the words “we,” “us,” and “our” refer to PTPRates, while “you” refers to the visitor of the Platform.
3. Carefully read these Terms, as they include essential information about your rights and legal obligations, including limitations on liability, warranty disclaimers, and jurisdiction submission. By accessing the Services in any form, you unconditionally and irrevocably agree to adhere to the current version of the Terms. If you disagree with these Terms, you must not access or use the Platform.

2. Eligibility

1. To access or utilize the Services, you must meet the legal age requirements in your jurisdiction. The Services are exclusively for personal, non-commercial use unless a separate commercial agreement has been established with us. If we have previously banned or terminated your account, you must not use the Platform or Services.

3. Account

1. An account with PTPRates (“Account”) is needed for certain aspects of the Services. Creating an Account requires you to affirm that you meet the legal age requirements and are competent to form legal contracts, and that your provided information is accurate and current.
2. You are solely accountable for all activities under your Account. We will not be liable for any misuse or misappropriation of your password or Account. You agree to safeguard your password and update your account information regularly.
3. Multiple Accounts are not allowed unless explicitly approved by PTPRates, subject to these Terms and any additional stipulations set by PTPRates. Sharing, transferring, selling your Account, or using another user’s Account without written consent is prohibited.
4. PTPRates may occasionally contact you at the email address in your Account registration, from which you cannot opt-out. PTPRates disclaims liability for any loss or damage caused by incorrect or outdated email information.

4. License

1. The Services must only be used according to these Terms. All rights not explicitly granted are reserved by PTPRates and its third-party providers or owners.
2. PTPRates offers content that may be subject to copyright or trademark protections. You acknowledge that the Services constitute valuable intellectual property created with substantial investment. You shall uphold these proprietary rights during and after the term of these Terms.
3. PTPRates grants you a limited, personal, non-exclusive, non-sublicensable, non-transferable license for personal use of the Content and Services. Commercial use or any modification, distribution, reproduction, or exploitation of the Services or Content is prohibited unless explicitly stated.
4. This license will automatically terminate if you breach any of these Terms.

 

5. Prohibited Activities

1. You must not:
   1. Replicate, alter, or derive works from the Services or Content;
   2. Manipulate, aggregate, or make Content available to third parties;
   3. Trade, lease, or license Content or access to the Services, whether for profit or free;
   4. Utilize or introduce any unauthorized data gathering methods to the Services;
   5. Interfere with, disrupt, or impose undue burdens on the Services or connected networks;
   6. Introduce malware, bypass security measures, or attempt unauthorized access to the Services or connected systems;
   7. Restrict or hinder any other user’s use of the Services;
   8. Utilize or distribute any trademarks, logos, or proprietary notices in the Content;
   9. Engage in any activities that violate laws or regulations or involve illegal proceeds.
   10. Using the Platform, Content or Services for or in connection with any activity that (i) violates any applicable law, ordinance or regulation, statute, including without limitation, the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), Canadian Securities Administrators (CSA) or (ii) involves proceeds of any unlawful or illegal activity.
2. You acknowledge your sole responsibility for obtaining and maintaining all necessary equipment, software, and services for accessing the Services and covering all associated costs.

By adhering to these Terms, you ensure a legal and responsible use of PTPRates.com Platform and Services.

6. Ownership and Intellectual Property Rights

1. Personal Use of Content: You may access, print, and duplicate content provided on the PTPRates platform for personal use only. Unauthorized reproduction, copying, downloading, “screen scraping”, storage, transmission, broadcasting, publishing, modification, redistribution, sale, or any other forms of usage are strictly prohibited without obtaining prior written consent from us. 2. Ownership: All content on PTPRates is owned or controlled by Core State Holdings, Corp. Any logo, slogan, trademarks, service marks, or trade dress associated with PTPRates are protected under law and may not be copied or imitated without written permission from Core State Holdings, Corp.
3. No Grant of Rights: No rights in Core State Holdings, Corp.’s or any third-party’s intellectual property are granted to you by these Terms.
4. Misuse Prohibition: Any misuse of PTPRates trademarks or other intellectual property is strictly prohibited, except as permitted herein. If you become aware of any infringement or violation of our intellectual property rights, notify us immediately at [email protected].
5. PTPRates Trademarks: The trademarks, logos, service marks, and trade names related to PTPRates are solely Core State Holdings, Corp.’s property. Unauthorized usage is not allowed. Other marks, names, or logos on the platform may be the property of their respective owners.
6. Copyright Notice: You must acknowledge that Core State Holdings, Corp. and/or its providers own all copyrights to the content under applicable intellectual property laws, and have reserved all rights therein.

7.   Linking to PTPRates:

1. You may link to PTPRates from your website, adhering to the following guidelines:
   1. Display text must be “PTPRates” or “PTPRates.com” or “Link to PTPRates.com”;
   2. Content on your site must comply with legal standards and our discretion. It shall not contain any content that is unlawful, threatening, abusive, libelous, defamatory or otherwise inappropriate;
   3. The look and feel of all the Platform and Services that accompanies the Link or is on the same page as the Link (for example, the entire article in which the Link appears) shall not otherwise be of a nature that may damage or dilute the goodwill associated with CSHC’s and PTPRates’ name, reputation or any of its trademarks, trade names or service marks, as determined by CSHC in its sole and absolute discretion. Respect our goodwill and reputation;
   4. No false association or endorsement by PTPRates is permitted.
2. We may revoke consent to link without prior notice. If so, you must promptly remove all affected links.

8.   Community-Generated Content and Rights to PTPRates:

1. You are responsible for all content you provide and must comply with all laws and regulations.
2. You acknowledge potential exposure to harmful or inappropriate content, and PTPRates is not responsible for community-generated content. You acknowledge and agree that by using the Service, you might be exposed to content that are harmful, disrespectful, irritating, offensive, inaccurate, misleading, or in any form inappropriate.
3. We reserve the right to remove any objectionable content.
4. Ensure you have intellectual property rights in content you post and report infringements to [email protected]. Before posting any community-generated content, you acknowledge and agree that you own or are licensed to that intellectual property rights in such content.
5. While retaining ownership, you grant PTPRates a broad license to use your content as described herein, with no obligation for compensation.

9.   Feedback:

1. Protecting your privacy is a priority. Please review our Privacy Policy at https://ptprates.com/privacy-policy/ .
2. Any communication with PTPRates, including feedback, will be treated as non-confidential. You grant us full rights to use such feedback, with no obligation to utilize or compensate you.

10. Disclaimers and Limitation of Liability

1. Informational Purposes Only: The information provided on the PTPRates platform is purely informational and must not be construed as an offering of any financial instrument, currency, security, or as providing investment advice or recommendations (including, without limitation, recommendations concerning the acquisition or disposal of any investment or the engaging in any investment strategy) by Core State Holdings, Corp. or any affiliated entity. Users must not regard content on the PTPRates platform as sufficient for forming an investment strategy. PTPRates neither predicts future values nor endorses any particular investment strategy. The utilization of content from the PTPRates platform as the foundation for any financial or other products requires the explicit written consent of Core State Holdings, Corp.
2. Third-Party Content: Core State Holdings, Corp. may incorporate content supplied by unrelated third parties on the PTPRates platform. While Core State Holdings, Corp. strives to maintain the quality of this content, it does not guarantee its accuracy, completeness, or reliability and disclaims all liabilities pertaining to the content’s aspects.
3. Errors and Inaccuracies: There may be errors or inaccuracies in the content or functionality of the PTPRates platform. Core State Holdings, Corp. does not guarantee the accuracy, timeliness, availability, or integrity of the platform or content, and disclaims all liability for errors, inaccuracies, or interruptions in connection with the service or content.
4. Warranties and Liabilities: The PTPRates platform and all associated content are provided “as is” without any warranty. Core State Holdings, Corp. disclaims all warranties regarding the service, content, and any email or electronic message sent, including, but not limited to, the absence of malicious software. Core State Holdings, Corp. shall not be liable for indirect, punitive, incidental, consequential damages, or lost profits arising from the use of the platform.
5. Specific Exclusions: To the maximum extent permitted by applicable law, Core State Holdings, Corp. assumes no liability for any damage, errors, mistakes, inaccuracies, unauthorized access, interruption, property damage, malicious software such as any bugs or viruses, omissions, defamatory or illegal conduct of any third party, including offensive conduct shared by any third party in connection with the PTPRates platform.
6. Liability Cap: Core State Holdings, Corp.’s liability shall not exceed US$100.00, reflecting the risk allocation between the parties. These limitations will apply notwithstanding any failure of the essential purpose of any limited remedy.
7. Jurisdictional Considerations: The limitations or exclusions mentioned herein may not apply in certain jurisdictions, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THESE TERMS GIVE YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION. THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY UNDER THESE TERMS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW. Consult local laws for specific legal rights as they may vary.

11. Indemnification

1. Your Obligations: Except where prohibited by applicable laws, you agree to indemnify, defend, and hold harmless Core State Holdings, Corp., its subsidiaries, including PTPRates, managers, directors, officers, employees, partners, consultants, contractors, service providers, agents, affiliates, successors, and assigns (collectively, the “Indemnified Parties”) from any and all claims, whether actual or threatened, lawsuits, actions, proceedings, arbitrations, judgments, liabilities, damages, losses, costs, and expenses, including but not limited to reasonable legal fees and investigation costs (collectively, “Claims”).
2. Grounds for Indemnification: This indemnification shall apply to Claims arising out of, relating to, or in connection with: (i). Your use or misuse of, or access to, the PTPRates platform, its services, tools, or content, including any violation of the protocols, guidelines, or rules set forth by Core State Holdings, Corp. for the use of the platform; (ii). Your violation or breach of any part of these Terms, any representations, warranties, or agreements referenced herein, or any applicable law, regulation, rule, or order of any governmental authority in your jurisdiction; (iii). Any claim that information, content, or materials provided by you to Core State Holdings, Corp. in connection with the PTPRates platform, including but not limited to user-generated content, caused damage to, infringed upon, misappropriated, or otherwise violated the rights of any third party, including without limitation, any infringement, misappropriation, or other violation of third-party intellectual property rights, or any violation of rights of privacy, publicity, or other personal rights; (iv). Any dispute, disagreement, or conflict that you have with any third party relating to or in connection with the PTPRates platform, its services, tools, or content.
3. Procedure and Conduct of Defense: Core State Holdings, Corp. reserves the right, at its sole discretion and at its own cost, to assume the exclusive defense, control, and settlement of any matter otherwise subject to indemnification by you. You agree to cooperate fully with Core State Holdings, Corp. in asserting any available defenses and in the conduct of any defense, negotiation, or settlement, and to provide all assistance, information, and authority necessary to perform the above. You also agree not to settle any Claim without the express written consent of Core State Holdings, Corp.
4. Continuing Obligation: This indemnification obligation will survive the termination or expiration of these Terms and your use of the PTPRates platform.
5. Limitations and Exceptions: This indemnification shall be limited to the extent required by applicable law in your jurisdiction and shall not apply to the extent that the Claims result from the gross negligence, fraud, or willful misconduct of Core State Holdings, Corp. or any of the other Indemnified Parties.

This clause has been specifically designed to reflect the legal obligations, rights, and remedies relevant to your operations and jurisdiction. The above provisions have been drafted in accordance with the laws of Ontario, Canada, and shall be interpreted and enforced according to that jurisdiction. 12. Links to External Sites

1. PTPRates may include connections to websites operated by third parties. You are responsible for using these links, and we don’t supervise, control, or endorse these external websites. Though we might provide these links for convenience, this doesn’t constitute an endorsement, sponsorship, or affiliation with these third-party sites by PTPRates, let alone your safety with operating these sites.
2. Once you depart from PTPRates, either through a link on the platform or by other means, the information you access is outside our jurisdiction. The terms and policies of PTPRates don’t apply to these third-party sites, and we are not accountable for the content or practices of other websites. PTPRates’ links to a third-party site should not be seen as approval or endorsement of that site or its products or services.
3. YOU ACKNOWLEDGE THAT PTPRATES WILL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING FROM YOUR DEALINGS WITH THIRD-PARTY SITES, SERVICES, OR CONTENT. THIS INCLUDES, BUT IS NOT LIMITED TO, ANY HARM, LOSS, OR DAMAGES THAT MAY BE CAUSED DIRECTLY OR INDIRECTLY.

13. Changes to the Platform

1. PTPRates reserves the right to alter, pause, or stop the Service and/or Content at any time, without prior notification, for any reason. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.

14. Amendments to these Terms

1. These Terms may be updated occasionally without prior notice. You agree to be bound by such updates, and you should frequently review the Terms to be aware of any changes.

15. Enforcement

1. PTPRates’ remedies under these Terms are cumulative and in addition to any other legal remedies. Any violation of these Terms will be treated as a breach of contract, and we may suspend or terminate your access to the Service accordingly.
2. We may investigate any suspected violation of these Terms or misuse of the Service and report to law enforcement authorities, regulators, and other entities as deemed appropriate. This may include providing your personal information if necessary to comply with legal obligations.

16. Jurisdiction and Governing Law

1. All disputes relating to these Terms and your use of the Service shall be governed by Canadian Federal law and Ontario province law. You agree to litigate exclusively in a competent court in Ontario, and you consent to the jurisdiction of such court.
2. In cases of breach of certain sections such as “Prohibited Activities” or “Ownership and Intellectual Property,” PTPRates is entitled to seek immediate relief, as monetary damages may not suffice.

17. Miscellaneous

1. These Terms, including linked policies like our Privacy Policy, constitute the full agreement between you and PTPRates concerning your use of the Service. Any prior communications are superseded by these Terms.
2. PTPRates does not enter into any joint venture, partnership, or employment relationship with you through these Terms or Service use.
3. PTPRates shall not be held liable for any delays or failures beyond its control, such as natural disasters, wars, extraterrestrial invasions, or pandemics.
4. Compliance with legal requirements might affect our performance under these Terms.
5. You must bring any claim or cause of action within two (2) years from the occurrence date; otherwise, it will be irrevocably waived.
6. You may not transfer or assign these Terms, but PTPRates may do so without restriction.
7. Invalid provisions will be replaced by valid ones that fulfill the original intent.
8. Jurisdiction-specific provisions may override or supplement certain limitations.
9. Headings or section titles are for reference only and don’t affect interpretation.
10. The terms “include” and “including” imply “without limitation.”
11. These Terms are binding only on the parties, and no third party has rights to enforce or benefit from any term.
